1. Acceptance of These Terms

Welcome to Tropical Teal Cosmetics. These Terms of Use (the “Terms”) govern your use of the website located at https://tropicaltealcosmetics.com (the “Site”), operated by Tropical Teal Cosmetics LLC (“Tropical Teal Cosmetics,” “we,” “us,” or “our”), a woman-owned wholesale and private label cosmetics company based in Los Angeles, California.

By visiting the Site, creating an account, or placing an order, you agree to these Terms. If you do not agree, please do not use the Site. Our Privacy Policy explains how we handle your information and is incorporated into these Terms by reference.

2. Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page shows the current version. Changes take effect when posted, and your continued use of the Site after a change is posted means you accept the updated Terms.

3. Eligibility and Use of the Site

The Site is intended for lawful personal and business use, including by entrepreneurs and businesses purchasing wholesale and private label cosmetics. By using the Site, you represent that you are at least 18 years old (or the age of majority where you live) or that you are using the Site with the supervision of a parent or legal guardian.

4. Products, Orders, and Payment

The Site offers wholesale beauty supplies, private label cosmetics, samples, ready-made bundles, and related products for purchase through our online store, which runs on the Shopify platform.

Order acceptance. All orders are subject to acceptance and product availability. We may refuse or cancel any order, including for suspected fraud or for pricing or typographical errors, in which case we will refund any amount you paid for the cancelled order.

Pricing. Prices, products, and promotions may change at any time without notice. If a product is listed at an incorrect price due to an error, we may correct the price or cancel the order.

Payment. Payments are processed by third-party payment processors through our Shopify checkout, including Shop Pay, PayPal, Apple Pay, Google Pay, and major credit and debit cards (Visa, Mastercard, American Express, Discover, Diners Club). We do not store your full card number; payment information is handled by the payment processor under its own terms and privacy policy.

Risk of loss. Risk of loss and title to products pass to you when we deliver your order to the shipping carrier.

5. All Sales Final — No Returns, Exchanges, or Cancellations

As stated in our posted Refund Policy, we do not offer returns or exchanges. Because we are a small company and our products are cosmetics, all sales are final for sanitary and safety reasons. Orders cannot be cancelled once they are placed. Please review your order carefully — including products, quantities, shipping address, and any private label branding details — before completing checkout. Our full Refund Policy, as posted on the Site at the time of your purchase, applies to every order.

6. Shipping

Processing times vary by order type: private label (logo) orders are typically processed in 14–21 business days, non-logo wholesale orders in 12–14 business days, and sample orders in 5–7 business days. Domestic orders ship via USPS; international orders ship via FedEx, UPS, or DHL. All processing and delivery times are estimates, not guarantees, and delays may occur for reasons outside our control. For international orders, you are responsible for any customs duties, taxes, or import fees charged by your country.

7. Private Label Orders and Customer-Supplied Branding

When you order private label products, you may supply a brand name, logo, or other artwork to be applied to your products. By submitting branding materials, you represent and warrant that you own or have full legal rights to use them and that they do not infringe any trademark, copyright, or other rights of any third party. You are solely responsible for your own brand and for the resale of products you purchase from us, including your own marketing claims, labeling, and compliance with laws that apply to your business. You agree to indemnify us for claims arising from branding materials you supply or from your resale of products, as described in Section 16.

8. Accounts

You may create an account to make ordering easier. You are responsible for keeping your login credentials confidential and for all activity under your account. You agree to provide accurate information and to update it as needed. We may suspend or close accounts used in violation of these Terms.

9. Ambassador Applications

The Site allows you to apply to our ambassador program. Submitting an application does not create any offer, partnership, or obligation on our part; applications are reviewed at our discretion, and any ambassador relationship is governed by the separate terms we provide if you are accepted.

10. Product Use and Safety

Our products are cosmetics intended for external use only, as directed on the product. Before using any new cosmetic product, we recommend applying a small amount to a patch of skin and waiting 24 hours to check for sensitivity. Discontinue use immediately if irritation occurs. Individual results and reactions vary. Nothing on the Site is medical advice, and our content is not a substitute for the advice of a physician or dermatologist. If you have allergies, sensitive skin, or a skin condition, review product information carefully and consult a professional before use.

11. Intellectual Property

All content on the Site — including text, product descriptions, photographs, graphics, logos, and the design of the Site itself — is owned by or licensed to Tropical Teal Cosmetics LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, revocable, non-transferable license to view and use the Site for your personal use and for evaluating and purchasing our products. You may not copy, scrape, republish, distribute, or use Site content for any other commercial purpose without our prior written permission.

12. Acceptable Use

You agree not to:

use the Site for any unlawful purpose or in violation of these Terms;
attempt to breach the Site’s security, probe for vulnerabilities, or gain unauthorized access to any systems, accounts, or data;
scrape, harvest, or collect data from the Site using automated means;
interfere with the operation of the Site or impose an unreasonable load on our infrastructure;
impersonate any person or entity, or misrepresent your affiliation with anyone; or
upload or transmit viruses or other malicious code.

13. Site Content Is General Information

Content on the Site is provided for general information and convenience. While we work to keep it accurate, we do not warrant that product descriptions, pricing, availability, processing times, or other content are current, complete, or error-free, and any of them may change without notice. Site content is not professional, legal, medical, or financial advice, and you should not rely on it as such.

14. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TROPICAL TEAL COSMETICS LLC AND ITS OWNERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US THROUGH THE SITE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU; IN THAT CASE, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Tropical Teal Cosmetics LLC and its owners, members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to: your violation of these Terms; your misuse of the Site; your violation of any law or the rights of any third party; branding materials you supply for private label orders; or your marketing, labeling, or resale of products purchased from us.

17. Third-Party Links and Services

The Site is built on Shopify and may link to or embed third-party sites and services, including TikTok content, social media pages, and payment services such as Shop Pay, PayPal, Apple Pay, and Google Pay. We do not control these third parties and are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their own terms and privacy policies.

18. Termination

We may suspend or terminate your access to the Site (including any account) at our discretion, without notice, for conduct that violates these Terms or harms the Site, our business, or other users. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnification, and governing law — survive termination.

19. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

20. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy and any policies posted on the Site (including our Refund Policy and Shipping Policy), are the entire agreement between you and us regarding the Site. We may assign these Terms; you may not assign them without our written consent. Section headings are for convenience only.
